TORONTO, ONTARIO–(Marketwired – Aug. 31, 2015) – AurCrest Gold Inc. (the “Company” or “AurCrest“) (TSX VENTURE:AGO) wishes to announce that it has settled a debt of $32,243.92 owed to an arm’s length creditor by the Company in consideration for the issuance of 644,879 working capital units (“WC Units“) of the Company at a price of $0.05 per WC Unit. Each WC Unit consists of one common share of the Company and one (1) share purchase warrant (a “WC Warrant“). Each WC Warrant entitles the creditor to acquire an additional common share until August 31, 2020 at a price of $0.05 per common share. The remainder of the debt owed to the creditor in the amount of $32,243.92 is to be paid on a sliding scale out of the proceeds of subsequent private placement financings by AurCrest. The securities are subject to a hold period expiring on January 1, 2016.
