The Company issued 1,686,750 Units at a price of CDN$0.20 per Unit, representing aggregate gross proceeds of USD $260,000. The net proceeds from the Offering will be used for working capital to meet the expected rise in demand for products after receiving vendor approval at a major Southwest Hospital Group (announced on June 9, 2016), as well as to meet the Company’s short-term debt obligations.
Each “Unit” consists of one common share in the capital stock of the Company (a “Unit Share“) and one-half of one non-transferable common share purchase warrant of the Company (a “Warrant“). Each whole Warrant is exercisable into an additional common share at a price of CDN$0.20 per share for a period of 36 months from the date of closing of the Offering. The Company has the right to increase the size of the Offering without providing further notice to subscribers.
The common shares to be issued, and any common shares issuable upon exercise of the Warrants will be subject to a hold period expiring on October 31, 2016. Lattice Biologics has received conditional approval from the TSX Venture Exchange for the Offering. The Offering is partially brokered by Silber Bennett Financial, Inc. (the “Agent”), who will receive a finder’s fee of 6% of the amounts raised by the Agent, or USD $15,000.
